The Reporting Person is a managing member of Morris Mutts LLC and may be deemed to beneficially own shares held by Morris Mutts LLC. As a result, the Reporting Person disclaims beneficial ownership of any shares held or controlled by Morris Mutts LLC, including shares distributed by Morris Mutts LLC, except to the extent of his pecuniary interest therein. The recipients of the pro rata distribution have agreed not to sell or otherwise dispose of the shares received in connection with the distribution prior to the Issuer entering a Window Period (as defined in the Issuer's insider trading policy).
