On April 7, 2021, the Company announced that it completed a non-brokered private placement (the “Private Placement”) for gross proceeds of $3.0 million through the sale of 15 million units (the “Units”) at a price of $0.20 per Unit.

Full Description of Material Change

On April 7, 2021, the Company announced that it completed a non-brokered private placement (the “Private Placement”) for gross proceeds of $3.0 million through the sale of 15 million units (the “Units”) at a price of $0.20 per Unit. Each Unit consists of one common share in the capital of the company (a “Share”) and one common share purchase warrant (a “Warrant”). Each Warrant entitles the holder to purchase one additional Share at a price of $0.24 until April 6, 2023. A referral fee was paid as compensation warrants to purchase up to 88,000 common shares of the Company at a price of $0.24 per Share at any time until April 6, 2023. All securities issued in the private placement are subject to a four month and a day hold period until August 7, 2021.
