On 2 February 2011, Fresenius SE & Co. KGaA (prior to its change of form:
Fresenius SE), Bad Homburg v.d.H., Germany, has informed us according to
Sec. 21 para. 1 WpHG that the total of its voting rights in Fresenius
Medical Care AG & Co. KGaA, Else-Kröner-Straße 1, 61352 Bad Homburg v.d.H.,
Germany, as from the effectiveness of its change of form as of 28 January
2011 continue to exceed the thresholds of 3%, 5%, 10%, 15%, 20%, 25%, and
30% of the voting rights and as of this day amount to 35.74% (106,603,342
voting rights).

On 1 February 2011, Fresenius Management SE, Bad Homburg v.d.H., Germany,
has informed us according to Sec. 21 para. 1 WpHG that the total of its
voting rights in Fresenius Medical Care AG & Co. KGaA, Else-Kröner-Straße
1, 61352 Bad Homburg v.d.H., Germany, have exceeded the thresholds of 3%,
5%, 10%, 15%, 20%, 25% and 30% of the voting rights on 28 January 2011 and
as of this day amount to 35.74% (106,603,026 voting rights).
These voting rights are attributed to Fresenius Management SE pursuant to
Sec. 22 para. 1 sentence 1 no. 1 WpHG.
The voting rights attributed to Fresenius Management SE according to Sec.
22 para 1 sentence 1 no. 1 WpHG are held through the following company
controlled by Fresenius Management SE: Fresenius SE & Co. KGaA.

On 1 February 2011, Else-Kröner-Fresenius-Stiftung, Bad Homburg v.d.H.,
Germany, has informed us according to Sec. 21 para. 1 WpHG that as from the
effectiveness of the change of form of Fresenius SE into Fresenius SE & Co.
KGaA on 28 January 2011, the total of its voting rights in Fresenius
Medical Care & Co. KGaA continue to exceed the thresholds of 3%, 5%, 10%,
15%, 20%, 25% and 30% of the voting rights and as of this day amount to
35.74% (106,603,026 voting rights).
Until 28 January 2011, all of these voting rights were attributed to
Else-Kröner-Fresenius-Stifung according to Sec. 22 para 1 sentence 1 no. 1
WpHG through Fresenius SE (after its change of form Fresenius SE & Co.
KGaA), and as of 28 January 2011 are attributed to
Else-Kröner-Fresenius-Stifung according to Sec. 22 para 1 sentence 1 no. 1
WpHG through Fresenius Management SE and Fresenius Management SE & Co. KGaA
(prior to its change of form Fresenius SE).
