Else-Kröner-Fresenius-Stiftung, Bad Homburg v.d.H., Germany, has informed
us in accordance with Section 21 para. 1 of the German Securities Trading
Act (WpHG) that the percentage holding of voting rights of
Else-Kröner-Fresenius-Stiftung in Fresenius Medical Care AG & Co. KGaA, Hof
an der Saale, Germany, had fallen below the 50% threshold on February 10,
2006 and then amounted to 36.77% (35,534,342 voting rights). The voting
rights of Else-Kröner-Fresenius-Stiftung of 36.77% were entirely
attributable to Else-Kröner-Fresenius-Stiftung through Fresenius AG, Bad
Homburg v.d.H., Germany, in accordance with Section 22 para. 1 sentence 1
no. 1 WpHG.
