Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 17, 2023, the Board of Directors (the “Board”) of Frequency Electronics, Inc. (the “Company”) appointed Dr. Tom McClelland as the Company’s President and Chief Executive Officer. Dr. McClelland had previously served as the Company’s Interim President and Chief Executive Officer since July 8, 2022.

Item 7.01 Regulation FD Disclosure.

On January 17, 2023, the Company issued a press release announcing the permanent President and Chief Executive Officer appointment noted above. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 7.01 by reference.
