Enteca PLC (the "Company") would like to inform the CSE and the investing public that its Board of Directors have passed the following written resolution on their meeting dated 28 April 2025:

• 1. THAT, further to consideration the Directors have approved the Report and Financial Statements of the Company for year ended 31 December, 2024, as prepared by KPMG Limited (the "Financial Statements").
• 1. THAT, further to consideration the Directors have approved the Report and Consolidated Financial Statements of the Company for year ended 31 December, 2024, as prepared by KPMG Limited (the "Consolidated Financial Statements").
• 1. THAT, Eleni Charalambous and Georgios Koufaris, in their capacity as Directors of the Company, be and are hereby authorised to sign the Financial Statements and the Consolidated Financial Statements and any relevant documents in this respect.
• 1. THAT, the Directors of the Company are to prepare all necessary forms and documents and liaise accordingly with the Secretary and Nominated Advisor of the Company for the submission of the Financial Statements and Consolidated Financial Statements to the Department of Registrar of Companies and Intellectual Property and OAM electronic system of the Cyprus Stock Exchange, respectively, in line with the Company's obligations as a listed issuer.
