Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 8, 2019, FreightCar America, Inc. (the “Company”) and Theodore W. Baun agreed that Mr. Baun will be leaving his position as Chief Commercial Officer of the Company effective June 30, 2019. The Company has had an active search in process and expects to soon announce a new executive who will head the Company’s commercial activities.
