Explanatory Note

Pursuant to Instruction 2 to Item 5.02 of Form 8-K, Freeport-McMoRan Inc. (FCX) is filing this Amendment No. 1 on Form 8-K/A to amend and supplement its Current Report on Form 8-K, originally filed with the Securities and Exchange Commission on August 3, 2021 (the Original Filing) regarding the appointment of Marcela E. Donadio and Sara Grootwassink Lewis to FCX’s Board of Directors (the Board). At the time of the Original Filing, the Board had not made any determination regarding committee assignments for Mses. Donadio and Lewis. FCX is hereby disclosing recent additions to the standing committees of the Board. Other than the additional disclosure provided herein, no other disclosure reported in the Original Filing is amended pursuant to this amendment.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 1, 2021, the Board appointed Ms. Donadio to serve on the Governance Committee of the Board and Ms. Lewis to serve on the Audit Committee of the Board. The appointments are effective November 2, 2021.
