Item 5.07 Submission of Matters to a Vote of Security Holders

On November 7, 2023, Freedom Holding Corp. (the “Company”) held its 2023 annual meeting of stockholders (the “2023 Annual Meeting”). As of September 8, 2023, the record date for the 2023 Annual Meeting, 59,659,191 shares of the Company's common stock were issued and outstanding and entitled to vote at the 2023 Annual Meeting. A summary of the matters voted upon the stockholders is set forth below.

Proposal 1. The Company's stockholders elected each of Askar Tashtitov and Boris Cherdabayev as Class I directors of the Company for a term of three years and until their successors are duly elected and qualified. The voting results were as follows:

Proposal 2. The Company's stockholders voted to approve the ratification of the appointment of Deloitte LLP in Kazakhstan, a member of Deloitte Touche Tohmatsu Limited (“DTTL”), a UK private company limited by guarantee, as the Company’s independent registered public accounting firm for the 2024 fiscal year. The voting results were as follows:
