Item 5.02 Departure of Director

At a meeting of the board of directors of BMB Munai, Inc., (the “Company”) on January 27, 2012, the board of directors accepted the resignation of Daymon M. Smith as a director of the Company and as a member of the Company’s Audit Committee and Nominating and Governance Committee. To the Company’s knowledge Dr. Smith’s resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.

A copy of the letter of resignation provided by Dr. Smith is attached hereto as Exhibit 17.1.
