F1: On October 6, 2017, Mr. Ler was awarded a restricted stock grant of 70,000 shares of common stock of the Issuer under the Freedom Holding Corp. 2018 Equity Incentive Plan and pursuant to an effective registration statement on Form S-8. The grant is subject to two-year vesting conditioned upon continued employment with the Issuer, except upon the occurrence of certain events, such as death, disability, change in control of the Issuer, or termination by the Issuer not for cause. Assuming the vesting condition is satisfied, 35,000 shares will vest on October 6, 2018 and the other 35,000 shares will vest on October 6, 2019. Mr. Ler has the right to vote these shares in any matter brought for a vote of the Issuer's common stockholders.
