Holdings in the Company

The Company was notified on 21 January 2015 that MASH Holdings Limited (which is wholly owned by Mike Ashley) had disposed of 15,400,000 ordinary shares of 10 pence each in the share capital of the Company (which represents 2.57% of the issued share capital of the Company) on 20 January 2015 at a price of 720 pence per ordinary share. Following this disposal, MASH Holdings Limited holds an interest in 330,000,000 ordinary shares of the Company, which represents 55.14% of the issued ordinary share capital of the Company. In connection with this disposal, MASH Holdings Limited has agreed not to sell, or otherwise dispose of, any interest in any ordinary shares of the Company, or enter into any transaction having a similar economic effect, for a period of 170 days from 20 January 2015.
