("Sports Direct" or the "Company")

Holdings in Company

The Company was notified on 26 February 2013 that MASH Holdings Limited (which is wholly owned by Mike Ashley) had disposed of 25,000,000 ordinary shares of 10 pence each in the share capital of the Company (which represents 4.18% of the issued share capital of the Company) on 25 February 2013 at a price of 400 pence per ordinary share.

Following this disposal, MASH Holdings Limited holds an interest in 385,400,000 ordinary shares of the Company (with full voting rights), which represents 64.40% of the issued ordinary share capital of the Company. In connection with this disposal, MASH Holdings Limited has agreed not to sell, or otherwise dispose of, any interest in any ordinary shares of the Company, or enter into any transaction having a similar economic effect, for a period of 365 days from 25 February 2013.
