("The Company")

The Company was notified on 23 October 2013 that MASH Holdings Limited (which is wholly owned by Mike Ashley) had disposed of 16,000,000 ordinary shares of 10 pence each in the share capital of the Company (which represents 2.7% of the issued share capital of the Company) on 23 October 2013 at a price of 662.5 pence per ordinary share. Following this disposal, MASH Holdings Limited holds an interest in 369,400,000 ordinary shares of the Company (with full voting rights), which represents 61.7% of the issued ordinary share capital of the Company. In connection with this disposal, MASH Holdings Limited has agreed not to sell, or otherwise dispose of, any interest in any ordinary shares of the Company, or enter into any transaction having a similar economic effect, for a period of 180 days from 23 October 2013.
