SPORTS DIRECT INTERNATIONAL PLC (the "Company") - GRANT THORNTON

In accordance with section 520(2) of the Companies Act 2006 please find enclosed a copy of Grant Thornton's Statement of Reasons relating to its decision to cease to hold office as the Company's auditor with effect from 11 September 2019, as announced by the Company on 14 August 2019.

As also announced on 15 August 2019, the Board of the Company intends to withdraw resolution number 9 as set out in the Notice of Annual General Meeting dated 26 July 2019, relating to the reappointment of Grant Thornton as auditors of the Company.

The withdrawal of resolution 9 does not affect the validity of the proxy form circulated to shareholders in respect of the 2019 Annual General Meeting or any proxy votes already submitted. Any proxy votes submitted in respect of resolution 9 will be disregarded.
