INFORMATIVA SU ACQUISTO AZIONI PROPRIE

Carrara, 15 Dicembre 2025 - Franchi Umberto Marmi S.p.A. (la "Società" o "FUM"), comunica che, nell'ambito del programma di acquisto e disposizione di azioni proprie approvato dall'Assemblea degli azionisti il 29 aprile 2025 e avviato dal Consiglio di Amministrazione, nel periodo compreso tra L'8 Dicembre 2025 e il 12 Dicembre 2025 (giorni iniziale e finale inclusi) ha acquistato complessivamente n. 4.100 azioni ad un prezzo unitario medio di 3,798 Euro per azione e per un controvalore complessivo pari a 15.571,00 Euro. Gli acquisti di azioni proprie sono avvenuti per il tramite Intesa Sanpaolo S.p.A., in qualità di intermediario incaricato di svolgere l'operatività, nel rispetto delle applicabili disposizioni di legge e di regolamento e secondo le modalità, termini e condizioni contenute nell'autorizzazione all'acquisto e disposizione di azioni proprie, conferite dall'Assemblea Ordinaria.

Franchi Umberto Marmi, le cui origini risalgono al 1971, è un'azienda leader attiva nella lavorazione e commercializzazione di blocchi e lastre di marmo di Carrara, pietra naturale autentica espressione del "Made in Italy" e del lusso, con peculiarità e caratteristiche uniche nel panorama nazionale ed internazionale. La Società copre tutte le fasi del processo produttivo e distributivo, garantendo così l'assoluta qualità del prodotto, sia che si tratti di lastre o di interi blocchi. L'attività è concentrata principalmente all'interno dei 59.000 metri quadrati della sede di Carrara, che la rendono il più grande spazio espositivo dedicato al marmo di Carrara.

La Società ha chiuso l'esercizio 2024 con Totale Ricavi e altri proventi per 81,7 milioni di Euro (+9,4% vs l'esercizio 2023), un EBITDA pari a 25,3 milioni di Euro (EBITDA Margin pari al 30,9%) e Utile d'esercizio pari a 11,3 milioni di Euro.

PERIODIC DISCLOSURE ON THE BUYBACK PROGRAM

Carrara, December 15, 2025 Franchi Umberto Marmi S.p.A. (the "Company" or "FUM"), with regards to the treasury buyback program authorized by the Shareholders' Meeting of April 29, 2025 and initiated by the Board of Directors, announces that between December 8, 2025 and December 12, 2025 it acquired no. 4,100 shares at an average price of Euro 3.798 per share for a total of Euro 15,571.00. The purchases were made through Intesa Sanpaolo S.p.A., appointed as intermediary responsible for carrying out the operations, in compliance with the applicable provisions of law and regulation and according to the methods, terms and conditions contained in the authorization to purchase and dispose of treasury shares, granted by the Ordinary Meeting.

Franchi Umberto Marmi, established in 1971, is a leader in the processing and marketing of blocks and slabs of Carrara marble, a natural stone that perfectly embodies Italian craftsmanship and luxury, with special characteristics that make it unique in Italy and in the rest of the world. The Company covers all phases of the production and distribution process, thus guaranteeing the absolute quality of the product, whether it is slabs or entire blocks. The activity is mainly concentrated within the 59,000 square meters of the Carrara headquarters, which make it the largest exhibition space dedicated to Carrara marble.

The company closed the 2024 financial year with Total revenues equal to Euro 81.7 million (+9.4% compared to 2023), an EBITDA equal to Euro 25.3 million (with a EBITDA margin equal to 30.9%) and Operating profit equal to Euro 11.3 million.
