Franchetti S.p.A.: "Warrant Franchetti 2022–2025" opening of the second exercise period 1–15 October 2024

Arzignano (VI), September 27, 2024 – Franchetti S.p.A. ("Franchetti" or the "Company" or the "Group", Ticker BIT: FCH), a company listed on the Euronext Growth Milan segment of the Italian Stock Exchange and parent of the multinational software development and engineering design Group focused on solutions for the safety and predictive planning of maintenance activities on infrastructure network structures, announces that the holders of the "Franchetti Warrants 2022-2025", ISIN code IT0005508558 (the "Warrants"), may request their exercise from October 1, 2024, until October 15, 2024, both start and end dates inclusive (the "Second Exercise Period").

Warrant holders have the option to subscribe to the Cumulative Shares at a ratio of n. 1 (one) Cumulative Share for every n. 1 (one) Warrant held, at a price per Cumulative Share ("Second Exercise Period Price") of Euro 3.63, corresponding to the placement price increased by 10%.

The Warrants currently in circulation are n. 1.217.500

Subscription requests can be made on any banking business day during the Second Exercise Period and must be submitted to the intermediary adhering to Monte Titoli S.p.A. where the Warrants are deposited.

It is understood that if the Warrant holders do not request to subscribe to the Cumulative Shares by the end of the Second Exercise Period (October 15, 2024), they will lose the corresponding right, notwithstanding once again the option to exercise the Warrants in each of the Third Exercise Periods.

The issuance and availability for trading, through Monte Titoli S.p.A., of the Cumulative Shares subscribed by Warrant holders during the Second Exercise Period will take place on the settlement day following the last day of the Second Exercise Period.

The Cumulative Shares subscribed during the exercise of the Warrants will have the same entitlement as the Ordinary Shares of Franchetti traded on Euronext Growth Milan starting from their issuance date.
