Franchetti S.p.A.: Errata Corrige – Communication of change in share capital following the closure of the first exercise period of the "Franchetti Warrants 2022- 2025" (2-16 October 2023)

Arzignano (VI), November 7, 2023 - Franchetti S.p.A. ("Franchetti" or the "Company" or the "Group," Ticker BIT: FCH), the parent company of the multinational software development and engineering design Group of the same name, a pioneer in the planning, diagnostics and definition of interventions to ensure the safety and predictive scheduling of infrastructure network maintenance, in particular of bridges and viaducts, communicates the new composition of the share capital resulting following the assignment of n. 157,250 Ordinary Shares of Franchetti S.p.A. of new issue, following the exercise of n. 157,250 Warrants during the First Exercise Period of the "Franchetti Warrants 2022-2025" - ISIN Code: IT0005508558, between 2 October 2023 and 16 October 2023, inclusive.

As a consequence of the above, at the current date there are therefore n. 1,217,500 Warrants.

The new composition of the share capital (fully subscribed and paid-in) of Franchetti is as follows:
