Sub: Appointment of Ms. Anita Belani as a Non-Executive Independent Director (Additional Director) of the Board

Pursuant to Regulation 30 of the SESI (Listing Obligations and Disclosure Requirements) Regulation 2015, we wish to inform you of the following change made in the Board of Directors of the Company at its Meeting held today, i.e., 21 June 2019.

The Board of Directors, based on the recommendation of the Nomination & Remuneration Committee, has appointed Ms. Anita Selani (DIN: 01532511) as a Non-Executive Independent Director (Additional Director) for a period of 5 years with effect from 21 June 2019, subject to the approval of the Shareholders of the Company at the next Annual General Meeting to be held in the year 2020. She will not be liable to retire by rotation.

Brief Profile of Ms. Anita Belani

Ms. Belani, aged 55 years, is a seasoned professional with 30 plus years of rich post MBA experience as a senior business and human capital leader. She did her M.B.A. from XLRI, Jamshedpur and B.A.(Hons) in Economics from Miranda House, University of Delhi.

She specialises in assignments across sectors, leveraging her extensive human capital and consulting background to provide strategic leadership solutions for her clients. She was also responsible for CEO / Board advisory assignments and specialized in the Private Equity / Venture Capital area in addition to focusing on diversified industrials. Her areas of expertise included helping clients solve their business issues through human capital solutions in such areas as change management, restructuring, organizational effectiveness, succession planning, leadership development and talent management. She was Country Head for Watson Wyatt India and was responsible for building a successful consulting brand for the organization.

Ms. Belani has previously worked with Sun Microsystems in San Francisco as a Senior HR Business Partner in charge of strategic global HR. Prior to that, she was in a senior business partner role with KPMG in the USA and was instrumental in building the India operations of Jardine Fleming. She has also worked with American Express TRS in the early part of her career.

Ms. Belani is an Independent Director on the Board of Redington India Limited, Eternis Fine Chemicals Limited, EuroKids International Private Limited and SV Edusports Private Limited.

Ms. Belani has been appointed the Chairperson of the Corporate Social Responsibility Committee and a Member each of the Stakeholders' Relationship Committee, the Audit Committee and the Nomination and Remuneration Committee of the Board of Foseco India Limited.

Ms. Belani is not related to any of the existing Directors of the Company.

The Board of Directors hereby affirms that Ms. Anita Belani is not debarred from holding the Office of Director by virtue of any order passed by SEBI or any other such authority and is therefore not disqualified to be appointed as a Director.
