Sub: Resignation of Mr. Glenn Allan Cowie (DIN: 07163534) as a Non-Executive non­ Independent Director

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulation 2015 [SEBI (LODR)] read with Section 168(2) of the Companies Act 2013, we wish to inform you of the resignation of Mr. Glenn Allan Cowie from the Directorship of the Foseco India Limited ("the Company"), with effect from today, i.e., 20 September 2019.

Mr. Glenn Allan Cowie was nominated as a Director of the Company by the holding company - Foseco Overseas Limited, a Vesuvius pie group company. He will be leaving the employment with the Vesuvius pie group to explore opportunities elsewhere and therefore, has tendered his resignation as a Director from the Board of the Company. We have today received the letter of his resignation dated 13 September 2019 intimating of his resignation, which please note.

We confirm that there is no other material reason than that provided herein of his resignation.
