Frontier Resources Limited – Sell Down by Forise Investment Sydney

Frontier Resources Limited ( Frontier or the Company ) announces that it has been informed that Forise Investment Sydney Pty Ltd (ACN 609 955 964) ( Forise ) has today sold 309,294,903 shares in the Company. The sales were effected as a block trade to several new shareholders. The sale represents approximately 92% of Forise’s total shareholding in Frontier and represents approximately 63.24% of Frontier’s total shares on issue.

Attached is a controller sale cleansing notice under section 708A of the Corporations Act.

Reduction of Shareholding in Frontier Resources Limited (Frontier or the Company)

I am writing to inform you that Forise Investment Sydney Pty Ltd ( Forise ) has sold 309,294,903 of its shares in Frontier today via a special crossing. Forise’s shareholding in Frontier on completion of the sale will be approximately 5.00%. A change of substantial shareholder notice will be lodged in due course.

Frontier Resources Ltd (ASX: FNT): Sale Offers Within 12 Months After Controller Sales

For the purposes of section 708A(5) and (6) of the Corporations Act 2001 (Cth) ( Act ), as modified by ASIC Corporations ( Sale Offers By Controllers ) Instrument 2016/81, Forise Investment Sydney Pty Ltd ( Vendor ) gives notice under section 708A(5)(e) of the Act of the following details:

• (a) On 27 June 2019, the Vendor executed the sale of 309,294,903 fully paid ordinary shares (Sale Shares) in the issued capital of Frontier Resources Ltd (FNT) to a range of institution and sophisticated investors;

• (b) The Vendor, as a controller of FNT for the purposes of the Act at the date of the sale, sold the Sale Shares without disclosure to investors under Part 6D.2 of the Act;

• (c) As far as the Vendor is aware, as at the date of this notice, FNT has complied with the provisions of Chapter 2M as they apply to FNT and section 674 of the Act; and

• (d) The Vendor is not aware of any information that be “excluded information” for the purposes of sections 708A(7) or (8) of the Act, as at the date of this notice.

1. Frontier Resources Limited ( FNT ) gives ASX Limited (as the relevant market operator) notice relating to the sale of the securities above.

2. Forise Investments Sydney Pty Ltd sold the securities above without disclosure to investors under Part 6D.2 of the Corporations Act.

3. This notice is given under paragraph (5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

4. As at the date of this notice, FNT has complied with:

   • (a) the provisions of Chapter 2M of the Corporations Act as they apply to it; and

   • (b) section 674 of the Corporations Act.

5. There is no excluded information (as defined in section 708A(7) of the Corporations Act in relation to FNT as at the date of this notice.
