ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On October 24, 2019 , Fortive Corporation (the "Company") issued a press release announcing financial results for the quarter ended September 27, 2019 . A copy of the release is furnished herewith as Exhibit 99.1 and incorporated by reference herein.

In addition, on October 24, 2019, the Company, as previously announced, conducted an earnings conference call relating to the financial results for the third quarter ended September 27, 2019. A copy of the transcript of the conference call, together with a copy of the corresponding presentation and reconciliation of certain financial measures, is furnished herewith as Exhibit 99.2 and incorporated by reference herein.
