To effect the Distribution, 134,871,536 shares of the Issuer's common stock were distributed, by means of a pro rata dividend, to the holders of the Reporting Person's common stock (other than fractional shares, which will be aggregated and sold into the public market and the proceeds distributed to the stockholders of the Reporting Person).
