On February 19, 2019, Fortive Corporation issued a press release announcing that it intends to offer, subject to market and other conditions, $1.25 billion of Convertible Senior Notes due 2022 in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
