This notice is given by Mighty Kingdom Limited (ASX: MKL, Mighty Kingdom or the Company) under section 708A(5)(e) of the Corporations Act 2001 (Cth)(the Act).

Notice under section 708A(5)(e) of the Act

Mighty Kingdom has today issued 22,752,373 new fully paid ordinary shares (the Shares) at an issue price of $0.145 per Share to professional and sophisticated investors under the institutional placement announced on Wednesday 15 December 2021.

For the purposes of section 708A(6) of the Act, the Company confirms that:

• The Shares were issued without disclosure to investor under part 6D.2 of the Act;

• As a disclosing entity, the Company is subject to regular reporting and disclosure obligations;

• As at the date of this notice, the Company has complied with

  • The provisions of Chapter 2M of the Act as they apply to the Company; and

  • o Section 674 of the Act;

• As at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Act that is required to be set out in this notice under section 708A(6)(e) of the Act.
