The RSUs granted on 1/4/2010 were issued pursuant to the Issuer's 2006 Equity Incentive Plan and entitle the reporting person to receive (1) share of common stock per RSU upon vesting of RSUs. The RSUs vested fully on 1/4/2012. The award includes a provision for the withholding of shares upon vesting to satisfy tax obligations.
