The Company disseminated the news releases via Newsfile and filed it via SEDAR with the British Columbia, Alberta and Ontario Securities Commissions, on April 23, 2026 and May 7, 2026 with respect to the second tranche of private placement of units closed on May 7, 2026.

Item 4 Summary of Material Change
The Company announced that it has completed the second tranche of the Company's brokered private placement for an aggregate of 5,313,000 flow-through units (the "FT Units") at a price of $0.50 per FT Unit for the total gross proceeds of $2,656,500.00. The gross proceeds from the sale of the FT Units will be used to incur exploration expenses that qualify as "Canadian exploration expenses" as defined in subsection 66.1(6) of the Tax Act and "flow-through mining expenditures" as defined in subsection 127(9) of the Tax Act for purposes of the mineral exploration tax credit.
