Sub.: Intimation under regulation 30 (read with Part A of Schedule III) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 – Change in Management - Appointment and Cessation of Chief Financial Officer, Key Managerial Personnel and Change in Senior Management Personnel/Officials of the Company.

Dear Sir / Madam,

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015 (‘Listing Regulations’), we hereby inform you that the Board of Directors in its meeting held today i.e. on the 9[th] June, 2025, has inter alia considered and approved the following:

1) Resignation of Mr. Sanjay Kumar Bohra as Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Company.

Mr. Sanjay Kumar Bohra, Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Company has tendered his Resignation vide Letter dated 9[th] June, 2025, effective from the close of business hours on the same day. The Company places on record its sincere appreciation for the valuable contribution made by Mr. Sanjay Kumar Bohra, as Chief Financial Officer during his tenure in the Company.

A copy of resignation letter submitted by Mr. Sanjay Kumar Bohra is enclosed as Annexure A1 .

2) Appointment of Mr. Rishi Luharuka as the Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Company, designated as ‘Group CFO’.

Based on the recommendation of the Nomination and Remuneration Committee and Audit Committee, the Board of Directors considered and approved appointment of Mr. Rishi Luharuka as the Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Company, designated as ‘Group CFO’ with effect from the start of business hours on 10[th] June, 2025.

3) Change in Senior Management Personnel (SMP)

Based on the recommendation of Nomination & Remuneration Committee, the Board of Directors considered and approved the below changes in Senior Management Personnel of the Company:

a. Addition of Mr. Rishi Luharuka, Chief Financial Officer and Key Managerial Personnel (KMP), designated as Group CFO with effect from the start of business hours on 10[th] June, 2025; and
b. Addition of Ms. Ananya Bhattacharjee, Senior Divisional Manager (Corporate Communications) with effect from 9[th] June, 2025.

The information with regard to the above-mentioned changes in the aforesaid Key Managerial Personnel and in the Senior Management Personnel in terms of Regulation 30 read with Schedule III – Para A (7) of Part A of the Listing Regulations, 2015, read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11[th] November, 2024, are given in Annexure A.
