United Kingdom Bucharest Branch ("the Investment Manager"), in its capacity as investment manager of Fondul Proprietatea SA ("the Fund"), would like to inform shareholders that the Financial Supervisory Authority issued Endorsement no. 164 / 22 July 2020 (the "FSA Endorsement"), whereby it endorsed the amendments to the Fund's Constitutive Act, as approved by the Fund's Extraordinary General Shareholders' Meeting Resolution no. 1 of 28 April 2020, except for the proposed amendments brought to Articles 14 para (2), 19 para (3) and 32 para (2). Also, through the FSA Endorsement the following amendments approved by the Fund's Extraordinary General Shareholders' Meeting Resolution no. 1 of 28 April 2020 were changed by the Financial Supervisory Authority, namely Articles 28 para (2), (3) and (5) and 31 para (1) letter d), and they will be subject to a further Extraordinary General Shareholders' Meeting of the Fund. Please find the English translation of the FSA Endorsement enclosed in the Annex to this report.
