Current report according to Article 234 para. (1) of the Financial Supervisory Authority Regulation no. 5/2018 on issuers of financial instruments and market operations, as well as the provisions of Article 99 letter s) of the Code of the Bucharest Stock Exchange, Title II, Issuers and Financial Instruments.

Important events to be reported:

Receipt of Tag-Along notice from Enel S.p.A. in relation to Fondul Proprietatea's shareholding in Enel Energie Muntenia S.A. and E-Distributie Muntenia S.A.

Franklin Templeton International Services S.À R.L., in its capacity as alternative investment fund manager and sole director ("AIFM / Fund Manager") of Fondul Proprietatea SA (the "Fund"), would like to inform shareholders that it received a notice from Enel S.p.A. ("Enel") in relation to the exercise by the Fund of the tag along right under the Privatisation Agreement entered into between S.C Electrica SA and Enel on 11 June 2007 relating to the acquisition of and subscription for shares in the subsidiary for Electricity Distribution and Supply Electrica Muntenia Sud S.A. (the "Privatisation Agreement"), in relation to Fondul Proprietatea's shareholding in Enel Energie Muntenia S.A. and E-Distributie Muntenia S.A.

The tag along notice is triggered following the entry by Enel and the Greek company Public Power Corporation S.A. ("PPC") into an agreement for the sale of all the equity stakes held by the Enel Group in Romania (https://www.enel.com/media/explore/searchpress-releases/press/2023/03/enel-signs-agreement-to-sell-its-romanian-operations-toppc).

The Fund is reviewing strategic options in the context of the tag along notice, as part of its ongoing commitment to increase value for shareholders. Any potential sale under the tag along right, should it be exercised, will be subject to the closing of the transaction between Enel and PPC. Further announcements will be made as and when relevant.
