(1) letter k) of the Financial Supervisory Authority Regulation no. 5/2018 on issuers of financial instruments and market operations, as well as the provisions of Article 99 letter f) of the Code of the Bucharest Stock Exchange, Title II, Issuers and Financial Instruments.

Important events to be reported:

Completion of the sale of Fondul Proprietatea's minority shareholding in E-Distributie Muntenia S.A., Enel Energie Muntenia S.A., E-Distributie Dobrogea S.A., E-Distributie Banat S.A., and ENEL Energie S.A.

Further to the current reports published on 14 March 2023, respectively 20 April 2023, Franklin Templeton International Services S.À R.L., in its capacity as alternative investment fund manager and sole director of Fondul Proprietatea S.A. (the "Fund") would like to inform shareholders about the completion of the sale of the Fund's entire holding in E-Distributie Muntenia S.A., Enel Energie Muntenia S.A., E-Distributie Dobrogea S.A., E-Distributie Banat S.A. and ENEL Energie S.A. ("ENEL Group in Romania") (the "Transaction").

Following the Transaction, the Fund received gross proceeds of RON 650,000,000. The proceeds will be used in accordance with the discount management techniques set out in Fondul Proprietatea's Investment Policy, published here: Investment Policy Statement (fondulproprietatea.ro).

We remind shareholders that the Transaction was concluded following the closing of an agreement between Enel S.p.A. and the Greek company Public Power Corporation S.A. for the sale of all the equity stakes held by the Enel Group in Romania (https://www.enel.com/media/explore/search-press-releases/press/2023/03/enel-signsagreement-to-sell-its-romanian-operations-to-ppc).

Following the Transaction, the Fund no longer holds any shares in the ENEL Group in Romania.
