(1) letter g) of FSA Regulation no. 5/2018 Important events to be reported: Update regarding the Board of Nominees of Fondul Proprietatea Franklin Templeton Investment Management Ltd. United Kingdom Bucharest Branch, in its capacity as Investment Manager ("Investment Manager") of Fondul Proprietatea SA (the "Fund"), hereby, announces that Mr. Sorin Mihai Mîndruțescu, who has served as a member of the Board of Nominees of Fondul Proprietatea (the "Board") since September 2010 and as its Chairman since April 2012, will not run for another term. The decision comes as a result of his expressed wish to observe the rigorous corporate governance standards of the London Stock Exchange, where Fondul Proprietatea held a secondary listing in 2015, which provide that a Board member of listed investment companies cannot be considered independent after serving in that position for more than nine years. The Investment Manager would also like to remind shareholders and investors that the deadline for submitting applications for two positions of member in its Board of Nominees closed on 17 July 2019; The Fund's shareholders are expected to elect two members of the Board from a pool of 3 candidates who applied for Board membership, at the upcoming General Shareholders' Meeting on 4 September 2019. The appointees will serve for a 3-year term, effective on 1 October 2019. The Board of Nominees is expected to appoint a new Chairman, following the shareholders' vote on 4 September 2019.
