REGIONE LOMBARDIA APPROVES THE TEXT FOR THE RENEWAL OF THE SERVICE CONTRACT WITH FERROVIENORD

Milan, 16 December 2022 – Following the press release issued on 2 December 2022, it is hereby announced that Regione Lombardia (the "Region"), the controlling shareholder of FNM S.p.A. ("FNM" or the "Company"), by a resolution adopted on 15 December 2022 approved the contractual text relating to the renewal of the service contract (the "Service Contract") with FERROVIENORD S.p.A. ("FERROVIENORD"), a wholly owned subsidiary of FNM, expiring on 31 December 2022, for the period from 1 January 2023 to 31 December 2027.

As is well known, the Service Contract, together with the program agreement, constitutes the contractual document implementing the principles and obligations contained in the concession agreement relating to the construction, operation and management of the regional railway infrastructure, renewed by the Region in favour of the Concessionaire by resolution dated 15 February 2016 until 31 October 2060 (the "Concession"). In particular, the Service Agreement governs the specific terms and conditions, including economic terms, of the ordinary management and maintenance of the railway infrastructure, as well as the activities concerning the purchase and management of rolling stock made available to the railway companies on behalf of the Region by FERROVIENORD, in accordance with the principles and obligations established in the Concession.

It should be recalled that, in view of the relationship between the Region, the controlling shareholder of FNM, and FERROVIENORD, a wholly owned subsidiary of FNM, and in light of the economic value expected to derive from the Service Agreement estimated at €330.6 million, the transaction qualifies as a related party transaction of "greater significance" pursuant to Consob Regulation no. 17221 of 12 March 2010 (the "RPT Regulation"), as subsequently amended and supplemented, and the procedure for related party transactions adopted by FNM on 29 November 2010 (the "RPT Procedure"), as subsequently amended and supplemented. Furthermore, FNM and FERROVIENORD approved the transaction in compliance with the relevant provisions of the RPT Regulation and the RPT Procedure.

Finally, it should be noted that, in accordance with the provisions of the RPT Regulation and the RPT Procedure, FNM will publish the information document relating to significant transactions with related parties concerning the transaction, prepared in accordance with article 5 and in compliance with the format set out in Annex 4 of the RPT Regulation, as well as in accordance with article 7 of

the RPT Procedure.

The Company will notify the market within the terms of law about the signing of the agreement by Regione Lombardia and FERROVIENORD.
