PRESS RELEASE
RESIGNATION OF A BOARD MEMBER
Milan, 20 March 2025 – FNM S.p.A. ("FNM" o the "Company") announces that, by letter dated 20 March 2025, sent to the Chairman of the Board of Directors and the Chairman of the Board of Statutory Auditors, Mr. Ivo Roberto Cassetta has communicated his resignation, effective 20 April 2025, from the position as a Director of the Company following his appointment as Chief Executive Officer of Milano Serravalle – Milano Tangenziali S.p.A.
It is noted that Mr. Cassetta was a non-independent Director and a member of the Remuneration Committee, the Committee for Social and Ethics Responsibility and the Committee for Control, Risk and Operations with Related Parties.
To the Company's knowledge and based on available information, Dr. Cassetta does not hold any shares in FNM as of today.
He is not entitled to any severance pay or other benefits following the termination of his office.
The Company thanks Dr. Cassetta for his contributions.
The Shareholders' Meeting will be convened to appoint a new Director to integrate the Board of Directors, in accordance with the Company's Bylaws and applicable law.
