Fnac Darty — Capital/Financing Update 2016

TSSDI REPAYMENT

Groupe Fnac announces that it has repaid the perpetual deeply subordinated notes (TSSDIs) issued to Kering on June 19, 2013.

The repayment took place on December 30, 2015.

A total payment of €67.9 million was made to Kering based on a principal amount of €60 million and a coupon capitalized at 5% annually, in accordance with the terms of the original subscription agreement signed on April 24, 2013 and amended on December 30, 2015.

This repayment confirms the strengthening of the Group's financial profile since it is publicly traded, and following the successful implementation of Fnac 2015 transformation plan.
