Consultancy Agreement with Director
Applyflow Ltd (ASX:AFW) ( Applyflow or Company ) has expanded its senior executive team with the appointment of John Winters in a consultancy role to support the continued growth and expansion of commercial opportunities for Applyflow, including the recently announced rollout of the Company’s Applypay service in partnership with Hudson Global Resources.
Having previously served in the roles of interim CEO and Executive Director of the Company, Mr Winters is currently a Non-Executive Director and will remain in that position. The consultancy agreement, entered into today with Diamond Capital Partners Pty Ltd, an entity associated with Mr Winters, stipulates for that entity and Mr Winters to provide corporate services to the Company focussing on investor relations, capital raising, debt funding and business development. These services include the same or similar activities conducted by Mr Winters in his previous roles with the Company.
The agreement provides for an effective commencement date of 1 November 2021 and is for no fixed term, subject to termination by either party on one month’s prior notice. A monthly consultancy fee of $7,500+GST and pre-approved out-of-pocket expenses are payable by the Company. The agreement is otherwise on terms customary for an agreement of this nature, including as to confidentiality and protection of intellectual property. The terms of Mr Winters’ appointment as Non-Executive Director, including as to director’s fees, remain the same.
