Flyr AS - Share Issue/Capital Change 2022

Flyr AS - New share capital registered

Reference is made to the stock exchange announcement by Flyr AS (the "Company")

on 5 May 2022 regarding the successfully placed private placement of new shares

(the "Private Placement"). The Private Placement was divided into two tranches

("Tranche 1" and "Tranche 2").

The share capital increase relating to the 29,787,349 shares to be issued in

Tranche 1 was registered with the Norwegian Register of Business Enterprises

today. After this, the Company's new registered share capital is NOK 908,947.366

divided on 454,473,683 shares, each with a nominal value of NOK 0.002.

The issuance of the 178,545,984 new shares in Tranche 2 is subject to approval

by the extraordinary general meeting of the Company to be held on 13 May 2022.
