Reference is made to the stock exchange announcement published by Flyr AS (the

"Company") on 9 November 2022 regarding a private placement in the Company

raising gross proceeds of NOK 250 million (the "Private Placement"), as well as

a potential subsequent offering of up to 10,000,000,000 new shares at a

subscription price per share of NOK 0.01, which is equal to the subscription

price in the Private Placement (the "Subsequent Offering").

Other information:

The Subsequent Offering is conditional on, inter alia, an extraordinary general

meeting in the Company, to be held on 16 November 2022, approving (i) the

issuance of new shares in the Private Placement, (ii) granting the Company's

board of directors an authorization to increase the Company's share capital in

connection with the Subsequent Offering, and (iii) the issuance of subscription

rights to shareholders who are allocated shares in the Private Placement and the

Subsequent Offering, as further described in the stock exchange announcement

published by the Company on 9 November 2022. Participants in the Subsequent

Offering are also expected to be granted subscription rights.

Launch of the Subsequent Offering is also contingent on the Company preparing

and publishing an EEA prospectus approved by the Financial Supervisory Authority

of Norway. Further description of the Subsequent Offering and the terms and

other circumstances that must be taken into consideration when subscribing for

shares will be included in the prospectus.
