Reference is made to the Company’s prospectus supplement dated April 24, 2024 (the “ Prospectus Supplement ”) to a short form base shelf prospectus dated November 21, 2022 (the “ Base Shelf ”) and all documents incorporated by reference in the Prospectus Supplement and the Base Shelf (the “ Prospectus ”).

The undersigned hereby consents to being named as a qualified person, as defined in National Instrument 43-101 – Standards of Disclosure for Mineral Projects, in the Prospectus, including the documents incorporated by reference therein, and to the use of my name in connection with references to my involvement in the preparation of a technical report entitled “Technical Report on the Mesquite Gold Mine, California U.S.A.” with an effective date of December 31, 2019 and a report date of April 27, 2020 (the “ Technical Report ”) and to references to the Technical Report, or portions thereof, in the Prospectus and to the inclusion of information derived from those sections of the Technical Report that I am responsible for preparing, in the Prospectus.

The undersigned hereby confirms that I have read the Prospectus and have no reason to believe that there are any misrepresentations in the information contained in the Prospectus that are derived from those sections of the Technical Report that I am responsible for preparing or that are within my knowledge as a result of the services performed by me in connection with the Technical Report.
