Flutter Entertainment plc ("Flutter" or the “Company”)

Suspension of Trading of Ordinary Shares on Euronext Dublin

In connection with the planned listing of Flutter’s ordinary shares on the New York Stock Exchange ("NYSE"), the Company confirms that its ordinary shares listed on Euronext Dublin (ISIN: IE00BWT6H894) ceased trading on Euronext Dublin on Tuesday, 23 January 2024. Flutter’s ordinary shares are expected to be delisted from Euronext Dublin with effect from 8.00 am (GMT) on Monday, 29 January 2024.

The Company's ordinary shares remain eligible for and continue to trade on the Main Market of the London Stock Exchange and, with effect from Monday 29 January 2024, subject to the effectiveness of its Form 20-F Registration Statement with the U.S. Securities and Exchange Commission, will also trade on the NYSE, in US dollar denomination, from that date.

Subject to the effectiveness of its Form 20-F Registration Statement with the U.S. Securities and Exchange Commission, the only remaining step required to effect the additional listing and trading of the Company's ordinary shares on NYSE is the migration of the settlement system of Flutter's ordinary shares from Euroclear Bank to the Depository Trust Company, which was approved by shareholders at Flutter’s 2023 Annual General Meeting. This step is expected to complete by 6.00 am (GMT)/1.00 am (ET) Monday 29 January 2024. To assist with this process, the US Listing Record Date for the purposes of Article 141 of Flutter's articles of association, which was previously announced by the Company on 8 December 2023, will be changed from 5.00pm (GMT) on Friday, 26 January 2024 to 7.00 pm (GMT) on the same date.
