Confirmation of Directorship Changes

As previously announced, Completion of the recommended Merger occurred today and the Company hereby confirms the following changes to the Board of Directors with immediate effect:

·      the resignation of Cormac McCarthy, Tom Grace and Ulric Jerome as Directors; and

·      the appointment of the following individuals:

-     Breon Corcoran, as Chief Executive Officer

-     Alex Gersh, as Chief Financial Officer

-     Ian Dyson, as a non-executive director and senior independent director

-     Zillah Byng-Thorne (formerly Zillah Byng-Maddick), as a non-executive director

-     Peter Jackson, as a non-executive director

-     Peter Rigby, as a non-executive director

The composition of the committees of the Board of Directors set out in Section 4 of Part III of the Prospectus, are now effective.

For the purposes of Rule 6.6.7(1) of the Listing Rules of the Irish Stock Exchange and Rule 9.6.13(1) of the Listing Rules of the UK Listing Authority, the details of all directorships held in any other publicly quoted company by the above named newly appointed directors, set out in Part III of the Prospectus, remain accurate.

There are no details requiring disclosure in respect of the above named directors under Rule 6.6.7 (2) to (6) of the Listing Rules of the Irish Stock Exchange or under Rule 9.6.13 (2) to (6) of the Listing Rules of the UK Listing Authority.

Unless otherwise defined, all capitalised terms in this Announcement have the same meaning as those contained in the Prospectus.
