Item 2.02. Results of Operations and Financial Condition.

On November 9, 2006, Flowserve Corporation (the “Company”) issued a press release announcing significantly improved quarterly financial results for the quarter ended September 30, 2006. The press release is furnished as Exhibit 99.1 to this Form 8-K.

On November 10, 2006, the Company hosted an investors’ conference call to discuss its financial results for the third quarter of 2006. A transcript of the call is attached hereto as Exhibit 99.2 and incorporated herein by reference.
