Item 2.02. Results of Operations and Financial Condition.

On March 1, 2007, Flowserve Corporation (the “Company”) issued a press release announcing earnings for the fourth quarter and year ending December 31, 2006. The press release is furnished as Exhibit 99.1 to this Form 8-K.
