UNDERWRITERS IN FLOW TRADERS IPO EXERCISE OVER-ALLOTMENT OPTION IN FULL
Amsterdam, the Netherlands – 15 July 2015. Flow Traders N.V. ("Flow Traders" or the "Company"), a leading technology-enabled liquidity provider operating on a global scale that specialises in exchange traded products ("ETPs")1 , today announces that following its successful initial public offering of its ordinary shares (the "Shares") on Euronext in Amsterdam (the "IPO" or the "Offering"), the option to sell an additional 15% of the total number of ordinary shares offered in the IPO has been exercised in full.
As part of the IPO of Flow Traders, and as set forth in the prospectus dated 30 June 2015, Summit Investors IV, L.P., Summit Partners Private Equity Fund VII-A, L.P. and Summit Partners Private Equity Fund VII-B, L.P. ("Summit Partners") have granted Morgan Stanley and UBS as Joint Global Coordinators, on behalf of the Underwriters, an over-allotment option (the "Over-allotment Option") in respect of 2,443,061 Shares (the "Over-allotment Shares"), representing 15% of the total number of Shares sold in the Offering. Morgan Stanley and UBS have exercised the Over-allotment Option in full.
The Over-allotment Shares were sold at the Offer Price of €32.00 per Share. Following the full exercise of the Over-allotment Option, the Offering comprises 18,730,136 Shares, representing approximately 40.25% of the total share capital of Flow Traders and leading to a total Offering size of €599 million.
As a result of the IPO (and after the full exercise of the Over-allotment Option), Summit Partners will hold approximately 8.65% of the Shares. Each of Avalon Holding B.V. and Javak Investments B.V. will hold approximately 14.27% of the Shares and the current and former employees initially participating in the Company's Share capital through the Stichting Administratiekantoor Flow Traders, will, in aggregate, hold approximately 22.55% of the Shares.
