Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On November 24, 2020, Flex Ltd. (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) reporting that Mr. John D. Harris II was appointed to the Company’s Board of Directors (the “Board”). The Company is filing this Amendment No. 1 to the Original Form 8-K to report that Mr. Harris has been appointed to the Compensation Committee of the Board effective as of January 20, 2021.

There have been no transactions involving the Company or any of its subsidiaries in which Mr. Harris has or will have a direct or indirect material interest that are required to be disclosed under Item 404(a) of Regulation S-K.
