NOTICE UNDER SECTION 708A(6) OF THE CORPORATIONS ACT 2001 (CTH)

Eclipx Group Limited ACN 131 557 901 ( Eclipx ) has today announced the issue and quotation of 22,234,775 fully paid ordinary shares ( Consideration Shares ) as consideration for its acquisition of 100% of the share capital of Right2Drive Pty Ltd ACN 159 590 986.

Eclipx advises that:

1. the Consideration Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) ( Act );

2. this notice is being given under sections 708A(5)(e) of the Act;

3. as at the date of this notice, Eclipx has complied with:

   • (a) the provisions of Chapter 2M of the Corporations Act as they apply to Eclipx; and

   • (b) section 674 of the Corporations Act; and

4. as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act.
