Flanigans’s Enterprises, Inc. is not filing by the prescribed due date its Form 10-Q for the thirteen weeks ended April 3, 2021 (the “Form 10-Q”). The Company intends to file the Form 10-Q on or before the fifth calendar day extension provided by Rule 12-25. The delay in filing has been caused by the need for additional time to complete the presentation of its financial statements and the analysis thereof to be included in the Form 10-Q.

Form 12b-25 - Notification of Late Filing

Part IV (3) - Explanation

It is anticipated that the Company will report an increase of (a) approximately $4.27 million in net income for the thirteen weeks ended April 3, 2021 to $5.69 million from approximately $1.42 million for the thirteen weeks ended March 28, 2020 due to the forgiveness of Paycheck Protection Program loans; and (b) approximately $1.80 million in net income attributable to stockholders for the thirteen weeks ended April 3, 2021 to approximately $2.45 million from approximately $0.65 million for the thirteen weeks ended March 28, 2020 due to the forgiveness of Paycheck Protection Program loans.
