Notification of Directors' Interest in Shares

Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them in accordance with the Market Abuse Regulations.

Vesting of Award

At the end of the three year vesting period for the Company's 2015 LTIP, the Company's actual TSR performance as at vesting on 6 April 2018 resulted in 54.8% vesting of the TSR element. This has resulted in 7,469 Ordinary Shares of 25p each in the Company ('Ordinary Shares') vesting for Nick Henry, and 5,009 Ordinary Shares vesting for Stuart Kilpatrick.

The Company was therefore notified on 6 April 2018 that Nick Henry and Stuart Kilpatrick, the Executive Directors of the Company, had increased their respective holdings of Ordinary Shares through the vesting of awards made in June 2015 under the Company's Long-Term Incentive Plan (the 'Plan').

On 6 April 2018, in accordance with the Plan rules, an aggregate of 12,478 Ordinary Shares vested and an aggregate of 5,864 Ordinary Shares were sold at a price of 1534 pence per share to fund the tax liability resulting from the vesting.

Following this transaction, Nick Henry's and Stuart Kilpatrick's respective beneficial interest in the Company's issued ordinary share capital is as follows:

Number of Ordinary Shares vested Number of Ordinary Shares sold Number of Ordinary Shares retained Beneficial Interest in Ordinary Shares following vesting and sale Percentage of Issued Ordinary Share Capital following vesting and sale
Nick Henry 7,469 3,510 3,959 228,942 0.46%
