FirstWave significantly strengthens Board with appointment of Simon Moore as Non-Executive Director

Leading Australian Cloud Security technology company, FirstWave Cloud Technology Limited (ASX: FCT) (“FirstWave”, “the company”) is pleased to advise of the appointment of Mr Simon Moore to the FirstWave Board as Non-Executive Director, effective 1 March 2017.

Mr. Moore is a highly-regarded director who brings extensive board-level experience to the role, including in the enterprise cloud computing and information technology sectors, along with a solid background spanning private equity, strategic planning, corporate finance, financial modelling, corporate governance and contract negotiations.

Other current directorships include Megaport Limited, Coates Hire Limited, TPI Enterprises Limited and Ulladulla Pastoral Company. Mr Moore was previously a directorship at Qube Logistics and Healthscope.

During a career spanning more than 20 years, Mr. Moore spent more than 11 years as the Managing Director of The Carlyle Group. Prior to this, he was Principal and Managing Director at Investcorp and a Vice President at J.P. Morgan Private Equity.

Mr. Moore’s experience at Megaport Limited, an Australian-based enterprise cloud network virtualisation systems supplier gives him the technical expertise necessary to help guide FirstWave’s future growth in the cloud-based security market.

His appointment comes at a period of significant growth for FirstWave, which has included a landmark partnership with Nxtra Data Limited, the data centre managed services business of India’s largest telecommunications provider, Bharti Airtel, that will see FirstWave’s services offered at seven data centres across India (Refer ASX announcement 23 February).

FirstWave also has a long-standing partnership with Telstra to supply its industry-leading information security services to three of Australia’s big four banks, along with major enterprise customers such as Qantas.

As part of his duties at FirstWave, Mr. Moore will also serve as the Chairman of the Company’s audit committee.

Subject to receiving shareholder approval at the Company’s Annual General Meeting to be held later this year, the Board has agreed to issue to Mr Moore, or his nominee, a total of 1,000,000 unlisted options to acquire ordinary shares in the Company. The options will vest in 3 equal tranches on the first, second and third anniversaries of his appointment. All options will be exercisable at $0.75 each and have a 5 year expiry period from the date of vesting.
