1. To take note of resignation of Mr. Vipul Khanna (DIN: 00889710) as a Director and from the Post of MD & CEO of the Company with effect from 31st August, 2023 (close of the busines hours).

2. Appointment of Mr. Ritesh Mohan Idnani (DIN: 06403188) as an Additional Director and the MD & CEO of the Company, subject to all applicable approvals, with effect from 1[st] September, 2023.

3. Reappointment of Mr.Sunil Mitra (DIN: 00113473) as an Independent Director of the Company for a second term with effect from 1[st] April 2024 for a period of three years

4. Appointment of Mr. T. C. Suseel Kumar (DIN: 06453310) as an Additional Director (NonExecutive, Independent Director), subject to all applicable approvals, with effect from 1[st] September, 2023.

5. Appointment of Ms. Rekha Sethi (DIN: 06809515) as an Additional Director (NonExecutive, Independent Director), subject to all applicable approvals, with effect from 1[st] September, 2023.
